Invitation to a Special General Meeting

The Executive Committee of the Polish Association in New Zealand invites you to attend a Special General Meeting (SGM) of the Association’s membership at 1:30pm 20 August 2023 at the Dom Polski, 257 Riddiford St, Newtown.

The subject of the SGM is ‘Deciding on an option for the future of the Dom Polski’. The objective is to attain a majority vote among the voting members at the SGM on a single future option. For more information on the voting process, please see the attached document.

The Agenda for the meeting will be:

1. Welcome and prayer

2. Objectives of the meeting

3. Summary of the due diligence phase

4. Open forum on options (this will be your opportunity to ask questions and to    express your points of view on the future of the Dom Polski)

5. Explanation of (and agreement on) the voting process

6. Voting

7. Closing Remarks from the President

8. Refreshments

When you arrive at the SGM, you will be asked to state (and, if necessary, prove) the basis on which you are attending the meeting (i.e., as an ordinary member, a life member, a foundation member of the Dom Polski, an honorary member, a proxy holder, or an observer), and you will accordingly be issued with voting forms.

The SGM will also be streamed via video-conference to people who are unable to join the meeting in person. However only eligible voters physically at the meeting, along with proxies, will be allowed to vote. Please send an email to association@polishcommunity.org.nz if you require video-conference details.

In advance of the SGM please reach out to the Executive Committee (either via email to association@polishcommunity.org.nz or in person to any of the committee members) if you have any questions.

There are three options proposed for the future of the Dom Polski; if you wish to propose other options beyond the three proposed, we ask you to submit those options to the Executive Committee by Sunday 6 August. Additional options will not be accepted after this date. The committee will consider your options and will have sole discretion as to whether to include them at the SGM.

Please note that according to the Rules of the Polish Association in New Zealand, ‘Thirty paid up ordinary or life members, including proxies, form a quorum of the General Meeting.’ In the event of a quorum not being formed, we will adjourn the SGM and reconvene it on another date.

Zaproszenie na Specjalne Walne Zebranie

Zarząd Stowarzyszenia Polaków w Nowej Zelandii serdecznie zaprasza Panią / Pana Specjalne Walne Zebranie (SWZ) członków Stowarzyszenia, które odbędzie się w niedzielę 20 sierpnia 2023 o godzinie 13:30 w Domu Polskim przy ul. 257 Riddiford St. w Newtown.

Tematem SWZ jest “Podjęcie decyzji o przyszłości Domu Polskiego”. Naszym celem będzie zdobycie większości głosów na jedną z opcji zaprezentowanych na zebraniu. Informacja o procesie głosowania zawarta jest w załączonym dokumencie.

Program zebrania:

1.       Powitanie i modlitwa

2.       Przedstawienie celu zebrania

3.       Streszczenie raportu należytej staranności (due diligence)

4.       Otwarte forum na dyskusję zaprezentowanych opcji (będzie to okazja do zadawania pytań i przedstawienia swoich poglądów na temat przyszłości Domu Polskiego)

5.       Wyjaśnienie (i uzgodnienie) procesu głosowania

6.       Głosowanie

7.       Końcowe uwagi Prezesa Stowarzyszenia

8.       Poczęstunek

Formularze do głosowania będą wydane osobom uprawnionym do głosowania, tzn. członkom Stowarzyszenia z uiszczonymi składkami, dożywotnim lub honorowym członkom, założycielom Domu Polskiego, lub uprawnionym pełnomocnikom.

Dla osób, które nie mogą uczestniczyć w zebraniu, dostępna będzie wideo-konferencja. Jednakże głosować będą mogły tylko uprawnione osoby obecne na zebraniu. Jeśli potrzebny będzie dostęp do wideo-konferencji prosimy przesłać email do association@polishcommunity.org.nz.

 Prosimy o kontakt z Zarządem Stowarzyszenia (osobistym lub via email association@polishcommunity.org.nz), jeśli potrzebne są dodatkowe wyjaśnienia.

Są trzy opcje na przyszłość Domu Polskiego; jeśli ktoś chciałby zaproponować inną alternatywę, prosimy o przesłanie propozycji do Zarządu nie później niż do niedzieli 6 sierpnia. Zarząd rozpatrzy te propozycje i zadecyduje, czy je na SWZ.

Prosimy zauważyć, że według Regulaminu Stowarzyszenia Polaków w Nowej Zelandii, do quorum walnych zebrań potrzebna jest liczba trzydziestu uprawnionych głosów. W przypadku, kiedy quorum nie zostanie osiągnięte, SWZ będzie odroczone na późniejszy termin.
